About the Role:
Finatal is looking for an experienced Interim IT Director with a background in Private Equity and a track record of working on IT transformations during carve-outs, divestments, or similar corporate restructuring initiatives. This role is critical to ensuring the smooth separation and/or integration of IT systems, processes, and teams as part of a high-profile divestment.
A key component of this engagement will involve the successful delivery of the Transition Services Agreement (TSA), which will form the foundation for ongoing IT support during the transition phase. The role requires strong leadership and a deep understanding of how to structure and deliver on TSA requirements while overseeing the broader IT separation and integration process.
Key Responsibilities:
- Lead the IT strategy, delivery, and operational support during a corporate carve-out or divestment.
- Own the TSA execution by managing and delivering IT services, infrastructure, and support as defined in the Transition Services Agreement.
- Oversee the separation or migration of IT systems, applications, data, and infrastructure, ensuring minimal disruption and smooth transitions for the business.
- Collaborate with private equity sponsors, senior leadership, and external advisors to define IT priorities, goals, and timelines for the carve-out/divestment.
- Ensure all TSA deliverables are met in a timely and efficient manner, coordinating between internal IT teams, third-party vendors, and other stakeholders.
- Address IT risks, including security, compliance, and data privacy, particularly as they relate to the carve-out process and TSA obligations.
- Provide strategic guidance on IT infrastructure and architecture to support the long-term goals of the new standalone entity or acquired business.
- Lead IT team coordination and ensure that cross-functional teams (finance, legal, operations) are aligned and executing on the divestment strategy.
- Manage and resolve any issues that arise during the TSA period, ensuring that operational and business continuity is maintained.
Ideal Candidate:
- IT Leadership experience:Â At least 5-10 years of IT leadership experience, with at least 3-5 years working in private equity-backed environments, specifically during corporate carve-outs, divestments, or similar transitions.
- Private Equity exposure:Â Strong understanding of private equity processes and goals, with experience working alongside PE firms, investors, and management teams on IT-driven transformations.
- TSA expertise: Proven experience managing and delivering on Transition Services Agreements (TSA), particularly in the context of IT systems and infrastructure.
- Transformation experience:Â Hands-on involvement in IT separation and integration projects, with a focus on maintaining continuity while migrating or separating IT services and platforms.
- Technical expertise:Â Familiarity with enterprise IT systems, cloud platforms, data management, ERP solutions, and the specific challenges related to IT during corporate restructurings.
- Strong leadership skills:Â Excellent communication, problem-solving, and decision-making capabilities, with a demonstrated ability to lead cross-functional teams and manage complex stakeholder relationships.
- Adaptability and results orientation:Â Comfortable working in a fast-paced, high-pressure environment, with the ability to adapt to changing priorities and meet tight deadlines.
