We are partnering with a PE-backed financial services business seeking an experienced Interim M&A Director to provide hands-on support through a critical phase of exit preparation and execution.

This is a high-impact mandate requiring someone who can quickly get into the detail, take ownership of key transaction workstreams and work closely with the CFO, senior leadership, PE sponsor and external advisers throughout the exit process. Immediate availability or availability at short notice is essential for this role.

The successful candidate will have significant sell-side transaction experience and be comfortable owning the process end-to-end, from building out the data room and managing due diligence through to SPA negotiations, buyer Q&A and completion.

Key Responsibilities

  • Take ownership of key financial and commercial workstreams across the exit process.
  • Build out and manage the data room, ensuring information is accurate, complete and readily available throughout due diligence.
  • Coordinate the buyer Q&A process, managing information requests and working across the business to provide timely and accurate responses.
  • Lead financial modelling, valuation analysis and scenario planning to support the transaction.
  • Support sell-side due diligence, working closely with financial, commercial, tax and legal advisers.
  • Support the SPA process, including review of key financial clauses, completion mechanics and transaction-related negotiations.
  • Work closely with the CFO, management team, PE sponsor, advisers and prospective buyers throughout the process.
  • Support negotiations and deal execution, helping resolve financial and commercial issues as they arise.
  • Drive transaction workstreams through to signing and completion.

Candidate Profile

We’re keen to speak with individuals who can demonstrate:

  • Significant M&A and transaction execution experience, ideally within a PE-backed environment.
  • Previous experience taking a business through a full sell-side exit process.
  • Hands-on experience building and managing data rooms, coordinating buyer Q&A and supporting due diligence.
  • Strong understanding of SPAs, completion mechanics and transaction negotiations.
  • Strong financial modelling, valuation and commercial analysis capability.
  • Experience working directly with PE sponsors, investment banks, corporate finance advisers, legal counsel and due diligence providers.
  • A hands-on approach with the ability to operate comfortably at both board level and in the detail of transaction execution.
  • Ability to work on-site in London.
  • Immediately available or available at short notice.
